1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the InferALL™ demonstration application (the “Demo”) provided by Proholistic Discovery Inc.(“Proholistic Discovery,” “we,” “our,” or “us”), a corporation incorporated in Alberta, Canada.
These Terms apply only to the Demo. They do not apply to the Proholistic Discovery corporate website at proholisticdiscovery.com or to any future commercial, paid, or production version of the InferALL™ platform, each of which is or will be governed by its own terms.
By accessing or using the Demo, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Demo.
2. Preview Nature of the Demo
The Demo is a previewof work under active development. The predictions displayed are pre-computed for a fixed set of approximately 100 public ChEMBL compounds and are presented to illustrate our platform's outputs. The Demo:
- does not perform live, on-demand model inference;
- does not accept user-submitted compounds, SMILES strings, files, datasets, or other content for processing;
- is not a production service and offers no service-level commitments;
- may be paused, modified, or discontinued at any time without notice, in our sole discretion.
Access to the Demo does not constitute an offer, contract, or commitment to provide the InferALL™ platform as a service. Any future commercial version will be offered separately on its own terms.
3. No Clinical or Diagnostic Use
The Demo is provided for evaluation and educational purposes only. You agree not to rely on the Demo for any decision affecting human or animal health, safety, or welfare. Independent professional judgement and properly validated tools must be used for any such decision.
4. Limited License to Use
Subject to your compliance with these Terms, Proholistic Discovery grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Demo for your personal, internal evaluation purposes. No other rights are granted, by implication, estoppel, or otherwise.
5. Acceptable Use
You agree that you will not, and will not permit anyone else to:
- use the Demo in any way that violates applicable law, regulation, or third-party rights;
- attempt to access, scrape, harvest, mirror, or download the Demo or its data in bulk, by automated means, or other than as a natural part of using the user interface;
- reverse engineer, decompile, disassemble, or attempt to derive the source code or model weights underlying the Demo, except to the extent expressly permitted by applicable law that cannot be contractually waived;
- probe, scan, or test the vulnerability of the Demo or interfere with its availability or integrity (including denial-of-service attempts);
- use the outputs of the Demo to train another model, to develop a competing service, or to generate derivative datasets without our prior written consent;
- misrepresent the Demo's outputs as validated, peer-reviewed, or suitable for any clinical or regulatory purpose;
- remove or alter any proprietary notices, branding, or attributions appearing in or on the Demo.
6. User Submissions
The Contact form is the only place in the Demo where you can submit information to us. When you submit a Contact form, you confirm that the information you provide is accurate to your knowledge and that you are entitled to share it. You retain ownership of your submission, but grant Proholistic Discovery a non-exclusive, royalty-free, worldwide licence to use it for the purpose of responding to your inquiry, in accordance with our Privacy Policy.
The Demo does not otherwise accept user-submitted compounds, structures, files, datasets, prompts, queries, or other content for processing. Any compound identifiers that appear in your browser's prediction history are stored locally on your device.
7. Third-Party Content & Attribution
The Demo displays information derived in part from publicly available third-party sources, including:
- ChEMBL — chemical compound metadata and 2D structure images sourced from the EMBL-EBI ChEMBL database, used under the Creative Commons Attribution-ShareAlike 3.0 licence.
- PubChem— clinical-trial drug records used to identify structurally similar “clinical cousins,” sourced from the U.S. National Library of Medicine's PubChem database.
Third-party content remains the property of its respective owners and is provided subject to the terms of its source. Inclusion in the Demo does not imply endorsement by or affiliation with the third party.
8. Intellectual Property
As between you and Proholistic Discovery, Proholistic Discovery and its licensors own all right, title, and interestin and to the Demo, including all software, design, branding, models, prediction outputs, documentation, look-and-feel, and any related intellectual property rights. Nothing in these Terms transfers ownership of any of the foregoing to you. “InferALL,” “Proholistic Discovery,” and related marks are trademarks of Proholistic Discovery Inc.
9. Feedback
If you provide suggestions, ideas, or other feedback about the Demo (“Feedback”), you grant Proholistic Discovery a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, modify, and incorporate the Feedback for any purpose, without any obligation or compensation to you.
10. Privacy
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms by reference.
11. Disclaimers of Warranty
The Demo is provided “as is” and “as available” without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, Proholistic Discovery disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and quiet enjoyment.
Without limiting the foregoing, we do not warrant that the Demo will be uninterrupted, error-free, secure, free of harmful components, or that its outputs will be accurate, complete, reliable, current, suitable for your purposes, or representative of any future production version of our platform.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Proholistic Discovery is not liable for any damages arising out of or in connection with your use of the Demo. The Demo is provided free of charge, and you use it at your own risk.
Some jurisdictions do not allow these limits, so they may not apply to you in full. In those jurisdictions, our liability is limited to the smallest amount permitted by applicable law.
13. Modifications & Availability
We may modify these Terms from time to time. If we make material changes, we will update the “Effective date” above and use a reasonable method to notify you. Your continued use of the Demo after the effective date constitutes acceptance of the updated Terms.
We may suspend, restrict, or terminate the Demo, or your access to it, at any time and for any reason, with or without notice, including for suspected violation of these Terms. Your right to use the Demo ends immediately upon termination.
14. Governing Law & Jurisdiction
These Terms, and any dispute arising out of or in connection with them or the Demo, are governed by the laws of the Province of Alberta, Canada and the federal laws of Canada applicable therein, without regard to its conflict-of-laws provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to Section 17, you and Proholistic Discovery agree to submit to the exclusive jurisdiction of the courts located in Edmonton, Alberta for any dispute arising out of or in connection with these Terms or the Demo.
15. Force Majeure
Proholistic Discovery will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications failures, pandemic, or third-party service outages.
16. General
- Entire agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Proholistic Discovery regarding the Demo and supersede any prior agreement on that subject.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
- No waiver. A failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
- Notices. We may give you notices by posting on the Demo or by email to the address you provide; you may give us notices at the address in Section 20.
- Language. These Terms are written in English. If we provide a translation, the English version controls in the event of any conflict.
- No agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Proholistic Discovery.
